I __________________________ Social Security # ___________________________ D.O.B. ____________________________ ( herein after refered to as Talent) hereby employ People of Color Talent Agency ( herein after refered to as Agency )as my exclusive talent agency for the State of New Mexico . This contract covers all bookings and auditions within the State of New Mexico; other States will be nonexclusive. For a period of one (1) year from date hereof Talent authorize Agent to negotiate contracts for the rendition of my professional services as an artist, or otherwise, in the fields of motion pictures, modeling, legitimate stage, radio broadcasting, television, and other fields of entertainment. This contract will automatically renew in one year increments six times (for a total of seven years) unless either party terminates the agreement in writing by registered or certified mail. If any clients or casting directors contact Talent directly, Talent will immediately inform Agency. People of Color Talent Agency will be the talent agency of record and be paid agency commissions as per this contract appropriately. Talent fees shall come directly to the agency. However, if Talent receive any monies directly from a client Talent will immediately forward the check to Agency and receive a check in return for the amount due me as talent. Talent acknowledge that Agency will act under the guidelines of this Talent Agency Contract on behalf of anyone Talent refer to Agency for any opportunity, audition or booking. Talent understand that People of Color Talent Agency shall be the Talent Agency of record on any such booking and will be paid agency commissions as per this contract appropriately. 2. Talent hereby agrees that Agency may advise, counsel or direct Talent in the development and /or advancement of Talent professional career. Talent also agrees that Talent will provide Agency with no less than twenty (20) Headshots and resumes for agency to distribute to clients. 3. As compensation for Agency said services agreed to be rendered hereunder, Talent hereby agree to pay Agency a sum equal to twenty percent (20%) of all monies or things of value as and when received by Talent directly or indirectly, as compensation for Talent professional services rendered or agreed to be rendered during the term hereof under contracts, or any extensions, renewals, modifications, or substitutions thereof, entered into or negotiated during the term hereof. Talent will pay the same to Agency thereafter for so long a time as Talent receive compensation on any such contracts, extensions, options or renewals of said contracts; and for so long as Agency remain licensed. It is expressly understood that to be entitled to continue to receive the payment of compensation on the aforementioned contracts, after the termination of this agreement, Agency shall remain obligated to serve Talent and perform obligations with respect to said employments or to extensions or renewals of said contracts or to any employment requiring Talent services on which such compensation is based. Talent acknowledge that the compensation payable to Talent hereunder is in addition to any service fee Talent might or shall receive from the client for whom Talent render services and said sum shall not reduce the commission payable to Agency by Talent hereunder. 4. People of Color Talent Agency is authorized and empowered by Talent to approve and permit the use of Talent name, photograph, likeness, voice and theatrical materials in connection with Talent services in the entertainment industries as outlined above in connection with those uses, purposes and projects with Talent have specifically authorized said use. Agency is further authorized to contract for, bill, collect and receive sums payable and derived from Talent services, and upon receipt of the sums, to deposit them in Agency’s trust accounts, directly, and to deduct therefrom all sums owing to Agency pursuant to this Agreement. Agency is authorized to sign photographic and other releases for Talent consistent with the terms and provisions of this Agreement and any specific project or booking. Agency is specifically empowered, consistent with these provisions, to endorse checks in Talent's name for the prompt deposit by Agency to Agency’s trust account and payment to Agency pursuant to this Agreement. 5. Agency hereby agree that Talent may not render your services to others during the term hereof. 6. In the event that Talent do not obtain a bona-fide offer of employment from a responsible employer during a period of time in excess of six (6) consecutive months, during all of which said time Talent shall be ready, able, willing, and available to accept employment, either party hereto shall have the right to terminate this contract by notice in writing to that effect sent to the other by registered or certified mail. 7. Controversies arising between Talent and Agency under the provisions of any New Mexico laws relating to talent agencies and under the rules and regulations for the enforcement thereof shall be referred to the appropriate agencies. 8. Subject to Talent's availability, Agency hereby agree to use all reasonable efforts to procure employment for Talent in the field or fields of endeavor specified in the contract in which you represent Talent. 9. The parties hereto agree, and Talent acknowledge, that Talent is an independent contractor. This contract and the relationship between the Talent and Agency does not constitute employment. Talent is responsible for all taxes owed upon Talent earnings and is not eligible for Unemployment from Agent’s trust account. 10. The Parties hereby incorporate People of Color Talent Agency Guidelines, including all revisions thereto, into this agreement and the same shall be deemed to be, and are, apart hereof. 11. This instrument constitutes the entire agreement between Talent and Agency and no statement, promises, or inducement made by any party hereto that is not contained herein shall be binding or valid, and this contract may not be enlarged, modified, or altered, except in writing by both the parties hereto; and provided further, any substantial changes in this contract must be approved by both Talent and Agency. 12. Talent hereby agree to deliver to Agency an executed exact copy of this contract no later than _____ day of ________ , 200__.
